Terms of Service - Miti-XPRESS & MITI-X Dapp

TERMS AND CONDITIONS FOR BUYING WATER CREDITS & TOKENIZATION

The Universal Water Offset Unit Private Limited ("UWR", "UWR RoU Standard") has entered into a non-exclusive agreement with UNIVERSAL MITI-X PRIVATE LIMITED ("Miti-X", "we", "us", or "our") to operate a venue for UWR RoU account holders ("UWR Participants") to list for trade UWR RoU Standard verified water credits ("RoUs" or "water credits") from select projects located around the world (the "Project Listing") on the Miti-Xpress marketplace. These Terms and Conditions (the "Terms") govern the use of the Miti-Xpress Marketplace ("the Marketplace") and the MITI-X Dapp (“Dapp”, “Miti-X Dapp” or “MITIW Dapp”).

Miti-X reserves the right, in its sole discretion, to change, modify, add, or remove portions of these Terms at any time. We suggest that you check these Terms periodically for changes. The Terms can be accessed from a link at the Web Site. Any changes, modifications, additions to, or deletions from these Terms shall be effective immediately upon posting on the Web Site. You acknowledge that, by using the Web Site after we post changes to these Terms, you accept and agree to be legally bound by these Terms as changed. Miti-X may also from time to time offer other services that are governed by different terms and conditions.

No Offer or Advice

The Web Site and its content are provided for informational and educational purposes only. Nothing on the Web Site constitutes a recommendation, solicitation or offer by Miti-X to sell or buy any security or investment product or service. The Web Site does not, and it is not intended to, provide any financial, investment, retirement planning, insurance, legal, accounting or tax advice. You are solely responsible for determining whether any investment, investment strategy, security or related water credit transaction is appropriate for you based on your personal investment objectives, financial circumstances and risk tolerance. The whitepaper contains more complete information on fees, markets, charges, and other information, and should be read carefully before purchasing or acquiring MitiW tokens. Past performance does not guarantee future results. Please remember that there is no assurance that the objective of the Miti-X protocol will be achieved. Please also note that investment return and principal value will fluctuate. All MitiW token purchases involve risks and may lose value. A purchase in a Miti-X product is not a bank deposit and is not insured or guaranteed by any Insurance Corporation or any other government agency.

Jurisdiction

Unless otherwise specified, Miti-X controls, operates and services the Web Site from its offices within India, Gujarat. The services and products described and information provided through the Web Site are directed to and are intended to be made available only to qualified purchasers globally and are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject Miti-X or any of its products or services to any registration requirement within such jurisdiction or country. Persons who access the Web Site do so on their own initiative, and are responsible for compliance with applicable local laws and regulations.

By (i) buying UWR RoU Standard-verified water credits on the Miti-Xpress and tokenizing the same into MitiW VDA or tokens, or (ii) listing and selling RoUs as a UWR Participant, you agree to be bound by these Terms.

Section 1. Restrictions

By shopping on the Miti-Xpress, you understand, agree and represent that:

The Miti-Xpress operates as an e-commerce water credits marketplace for primary trades directly from the seller and does not operate an exchange for secondary trades post the initial purchase by Buyers or Participants;
You are at least eighteen (18) years old;
You have the authority and capability to enter in to these Terms;
Payments on Miti-Xpress are made through third party payment providers, such as Stripe, PayPal or Razorpay or any payment provider selected by Miti-X. Payments are executed to a common Miti-X bank account specified in the invoice and then remitted to the Participants listing their projects on the marketplace less all applicable taxes (if in India), Miti-X platform fees, payment gateway fees and banking charges associated with the same.
All listed prices are in US Dollar and its Indian Rupees (INR) equivalent and payments can be made in US Dollars or INR;
UWR will not be charging any listing fees for Participants to list on the Miti-Xpress.

ADDITIONAL TERMS FOR UWR PARTICIPANTS (SELLERS)

1.A. Platform Fees and Payment Remittance

By listing and selling RoUs on the Miti-Xpress Marketplace, UWR Participants (Sellers) agree to the following financial terms:

Platform Fee: Miti-X charges a platform fee equal to nine percent (9%) of the total transactional value (the sale price) of each RoU sold by the Participant on the Marketplace. Seller sets the selling price of the RoU inclusive of applicable taxes.
Net Proceeds Calculation: The amount remitted to the Participant (the "Net Proceeds") shall be the sale price, less: (i) the 9% Miti-X platform fee; (ii) all applicable taxes (including but not limited to GST, if the transaction is subject to Indian tax law); (iii) third-party payment gateway fees; and (iv) any applicable banking charges.
Remittance Timeline: Miti-X will initiate the remittance of the Net Proceeds to the bank account specified by the UWR Participant during the KYC and listing process, within ten (10) business days following the successful completion of the Buyer's payment (T+10). The remittance is contingent upon confirmation of funds and completion of any necessary compliance checks.

Section 2: The Two-Tiered Model: Primary Market and Tokenization Engine

2.1. Model Overview & Definitions

The Miti-Xpress ecosystem operates on a defined two-tiered model consisting of (1) the Miti-Xpress Primary Marketplace ("the Marketplace") and (2) the MITI-X Decentralized Application ("DApp"). These are distinct, separate functions.

2.2. The Miti-Xpress Primary Market: Establishing the Engineered Cost Basis

a. Function & Platform Role: The Miti-Xpress Marketplace functions as the exclusive venue for the initial primary sale of RoUs. Miti-Xpress acts solely as an intermediary platform connecting Buyers and Sellers and is charges a fixed platform fee on all transactions/sales made between the Parties to the trade and payable by the seller.

b. Account Registration: To transact, a Buyer must open and maintain a "MitiW Buyer" account with the Miti-X. All transactions are subject to the Miti-X's own terms and conditions.

c. Floor Price Enforcement & Listing: Miti-Xpress uses oracles to fetch end of day referenced market prices, algorithmically sets and enforces a dynamic discounted daily "Sustainability Subsidy" (the "Floor Price"). Sellers are required to list RoUs for sale at a price at least USD 0.001 (US Dollar 0.001) over the Floor Price to enable successful listing on the marketplace. By listing a RoU, the Seller represents and warrants that it represents genuine, measurable, and verified water savings as per the UWR Standard. If the Floor Price changes on a subsequent trading day and a Seller’s listed ask price is no longer at least USD 0.001 above the new Floor Price, that listing will be automatically suppressed and made non-visible for purchase on the marketplace until the Seller adjusts the ask price to meet the new requirement.

d. Order Finality & Payment: All purchases on the Marketplace are conducted exclusively through traditional, non-digital payment gateways. An order is final and payment is processed upon confirmation. The acquisition of an RoU is a fiat-denominated transaction completely separate from any blockchain activity.

e. Engineered Cost Basis: This mechanism establishes a transparent, minimum cost basis for the creation of every MitiW token. This price is not determined by speculative trading but is an engineered variable based on external water conditions and rights trading markets. This is the absolute minimum cost to bring a new MitiW token into existence.

f. Wallet Pre-Registration & Identity: To complete a purchase and be eligible for tokenization, a Buyer must connect a self-custodied digital wallet (such as MetaMask) when interacting with Miti-X. This wallet connection serves as the digital identity for the tokenization process.

2.3. The MITI-X DApp: Function as a Non-Custodial Tokenization Engine

a. Sole Purpose & Prerequisite: The MITI-X DApp serves exclusively as a non-custodial, user-initiated tokenization engine. Tokenization is strictly conditional upon the user having first acquired legal ownership of a verified RoU via a completed fiat transaction on the Marketplace.

Important Note on Tokenization Service: The tokenization service is provided free of charge by Miti-X. No separate consideration is charged for this service, and therefore no GST or other taxes are levied on the tokenization process itself.

b. The Tokenization Process: (i) User-Initiated Conversion and Authentication via Wallet; (ii) UWR API Integration & Attestation; (iii) Direct-to-Wallet Minting. Following successful attestation, the smart contract mints an equivalent amount of MitiW VDAs and transfers them directly to the user's self-custodied external wallet. The protocol never holds, controls, or custodies user assets.

2.4. Critical Legal Distinctions and Disclaimers

a. Miti-Xpress is not a Crypto Asset Exchange. It is a primary marketplace for environmental instruments, operating with traditional payment rails. No re-trade is allowed.

b. The MITI-X DApp is not a Crypto Asset Exchange, Trading Platform, or VASP. It is strictly non-custodial, provides no trading pairs or price discovery, has no fiat on-ramping, and no wallet management services.

c. A Bridge, Not a Marketplace: The MITI-X DApp functions as a verifiable and compliant bridge between a purchased real-world asset and its on-chain representation.

2.5. User Representations, Warranties, and Risk Acknowledgement

By using these services, you represent, warrant, and acknowledge that: You have read and agreed to the separate Terms and Conditions; You are solely responsible for wallet security; You understand the tokenization process and tax obligations; You acknowledge value volatility; and you understand that the tokenization is designed to enable trading on regulated secondary exchanges.

2.6. Limitation of Liability

To the fullest extent permitted by law, Miti-Xpress, UNIVERSAL MITI-X PRIVATE LIMITED and their affiliates shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Marketplace, the DApp, or any third-party VDA exchange.

Section 3: Purchasing credits on the Miti-XPRESS

When you buy UWR RoU Standard-verified water credits (RoUs) on the Miti-XPRESS, you are directly supporting independent water conservation. By making this purchase, you represent that you have read the project listing and will submit appropriate payment.

Section 4: Payment terms

Payments can be made online via the payment gateway or using an approved credit/debit card. Buyer will pay in USD or INR into Miti-X’s bank account. Payment confirmation must be received prior to transfer or tokenization.

Section 5: Refunds

Payments are non-refundable.

Section 6: Tax Deduction

Miti-X makes no representations as to whether your purchase is tax deductible. All purchases are inclusive of GST and other applicable taxes. Any subsequent trading of MitiW tokens on secondary exchanges may attract additional taxes as per local laws.

Section 7: Privacy and data protection

Data collected will be strictly used to help us carry out our services in accordance with our Privacy Policy. You acknowledge that we may be required by law to conduct background checks.

Section 8: Copyright

Images and information related to each Project belong to the independent Project Developers. You may use information for climate action communication as long as you accredit the relevant developers.

Section 9: Intellectual Property

The names “The UWR RoU Standard”, “Miti-Xpress”, and any associated logos are intellectual property of Miti-X. You agree not to misuse or misappropriate our intellectual property.

Section 10: Termination

Miti-X may restrict you from accessing the Miti-Xpress if you commit any fraudulent action or material breach of these Terms.

Section 11: Warranties and limitations of Liability

Miti-X does not warrant that the use of the Miti-XPRESS will be uninterrupted or error-free. Participants are fully responsible for any decision to buy, sell, or hold credits. Use of the services is at your own risk.

Section 12: Indemnification

You agree to indemnify and hold Miti-X harmless against all liabilities and expenses arising from your use of the Miti-Xpress or any breach of these Terms.

Section 13: Governing Law, jurisdiction and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall be resolved through good faith negotiations or binding arbitration in Gujarat under the Indian Arbitration Act 1996.

Section 14: Force Majeure

No party shall be liable for failure to perform due to causes beyond reasonable control (e.g., natural disasters, war, cyber failure).

Section 15: Notices

All notices shall be in writing and deemed duly given when delivered by courier, email, or mailing.

Section 16: General Provisions

Includes rules regarding data accuracy, intellectual property submission, assignment of rights, and the enforceability of these Terms.

Section 17: Definitions

Business Day

Any day (other than Saturday or Sunday or any public holiday) on which ordinary banks are open for their full range of normal business in India.

Buyers

Any buyer that makes use of the Miti-XPRESS interface to purchase and tokenize UWR RoU Standard-verified water credits.

Engineered Cost Basis

The transparent minimum cost, derived from the Floor Price and the primary market purchase, required to bring a new MitiW token into existence, which is not determined by speculative trading.

Floor Price

The dynamic, algorithmically determined minimum price for RoUs, set daily by Miti-Xpress, which establishes the engineered cost basis for MitiW tokens.

GST

The Goods and Services Tax levied under Indian law, which is included in the purchase price of RoUs on the primary marketplace but is not applicable to the free tokenization service.

MitiW Token

The Virtual/Value Digital Asset minted by the MITI-X DApp, which is a 1:1 digital representation of a purchased and tokenized RoU.

MITI-X DApp

The non-custodial, web-based decentralized application that functions exclusively as a tokenization engine and is not a digital asset exchange, trading platform, or VASP.

RoU (Rainwater Offset Unit)

A digital instrument issued under the UWR Standard, representing a verified water credit that is listed, bought, and sold on the Miti-Xpress Marketplace.

Self-Custodied Wallet

A digital wallet, such as MetaMask, over which the user has sole control via private keys and seed phrases.

Tokenization

The non-custodial, user-initiated process whereby a legally owned RoU is converted into a MitiW Token involving on-chain attestation.
